These Terms of Service (“Terms”) govern your access to and use of the TalleFlow platform, website, and related services (collectively, the “Services”) operated by TalleFlow, Corp. (“TalleFlow,” “we,” “our,” or “us”).By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility & Account Registration
You must be at least 18 years old and have the legal authority to enter into binding agreements to use the Services.You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate and complete information and to keep your account information up to date.You may not create multiple accounts to bypass restrictions, abuse promotions, manipulate pricing, or engage in fraudulent or deceptive behavior.
2. Description of Services
TalleFlow provides a software-as-a-service platform that includes customer relationship management tools, workflow automation, document generation, communication tools, a professional community, and a marketplace that enables users to discover, offer, purchase, and collaborate on services and digital assets.The Services may change over time as we improve functionality, add features, or remove features. The Services include our website, web application, and mobile applications (including iOS and any Android beta we make available).
3. Marketplace & White-Label Services
TalleFlow provides a platform for users to connect and transact with one another, including marketplace jobs and white-label features.
User-provided services. Except where TalleFlow Pay applies (see Section 4), TalleFlow is not a party to agreements between users for the underlying services they offer each other. Services offered through the marketplace or white-label features are provided by users, not by TalleFlow. TalleFlow does not control, endorse, or assume responsibility for the quality, legality, delivery, safety, or outcomes of user-provided services or content. Disputes about the underlying service remain between the users involved, except as these Terms otherwise provide for TalleFlow Pay, or as required by applicable law.
TalleFlow Pay (limited payment role). When a marketplace job is paid through TalleFlow Pay, TalleFlow, Corp. acts as the provider’s limited agent solely for collecting and handling payment for that job (an agent-of-payee role). When the hirer pays TalleFlow for that job, the hirer has paid the provider for the amounts collected under these Terms. That role is limited to payment collection, holding, release, refunds, and related fee handling as described in Section 4. It does not make TalleFlow the provider of the job’s underlying services, and it does not create an insurance, bonding, or similar product.
Wording we do not use. We do not describe TalleFlow Pay as escrow, and we do not use the words Protection, Guarantee, or Insured for this feature.
4. Payments, Subscriptions & Fees
Certain features of the Services require payment.
By purchasing a paid subscription or plan, you authorize TalleFlow to charge applicable fees through our third-party payment processors, such as Stripe.Subscriptions automatically renew unless canceled before the renewal date.
Fees are non-refundable except where required by law.
Partial billing periods are not refunded.Lifetime subscriptions are final and non-refundable unless otherwise explicitly stated at the time of purchase.TalleFlow does not store or process payment card information directly and is not responsible for errors or outages caused by third-party payment providers.We reserve the right to modify pricing, subscription plans, fees, and promotional programs at any time.
TalleFlow Pay (marketplace jobs)
TalleFlow Pay is an optional way for businesses to pay for marketplace jobs inside TalleFlow. It does not change regular invoicing: invoice payments, the Stripe accounts businesses use for invoicing, and related risk remain as they are today.
Availability. TalleFlow Pay is for cards only, charged in U.S. dollars, for jobs in the United States and Canada (subject to product availability and Stripe account eligibility). Payment methods other than cards (for example ACH or PayPal) are not part of TalleFlow Pay.
How payment works. When a hirer awards a job paid through TalleFlow Pay, the hirer authorizes payment by card. TalleFlow, Corp., as the provider’s limited payment-collection agent, collects amounts for that job. TalleFlow holds those amounts until 24 hours after the job’s last day ends, then releases the provider’s share to the provider’s payout account, less applicable fees. The hirer may choose Release now after the job has started to release sooner; doing so ends the problem-reporting window described below for that release path.
Fees. The hirer pays no TalleFlow fee for TalleFlow Pay. The provider pays one all-in fee of 10% on a free plan or 7% on a paid plan, with a $5 minimum per job. That fee covers Stripe card and payout costs included in the all-in rate. There is no TalleFlow fee on mileage or expense reimbursements. Fee rates and the cancellation preset for a job are locked when the job is awarded.
Deposits and balances. For jobs far enough in the future, TalleFlow may collect a deposit at provider acceptance and charge the remaining balance later on the dates shown at award, using the hirer’s saved card with the hirer’s recorded consent. Shorter-lead jobs may be charged in full at acceptance, as shown in the product.
Cancellation presets. When a job is posted and awarded, it uses one of the product’s cancellation presets (for example Flexible, Standard, or Strict). Those presets set how much is refundable if the hirer cancels, and related deposit rules. The preset is locked at award and shown in the product. If the provider cancels or does not show, the hirer is entitled to a full refund of amounts paid for that job under the product rules, subject to the refund cap below. Stripe’s card processing fee on refunded amounts is handled per the product rules (generally, whoever cancels bears that cost so TalleFlow does not absorb it).
Problems and the 24-hour window. Within 24 hours after job end, the hirer may report a problem (for example quality, partial delivery, or lateness) or a no-show in the product. A timely report can pause automatic release while both sides add information and TalleFlow reviews the job under its dispute process. Outcomes are limited to release in full, refund in full, or a partial split of amounts paid for that job.
Refund cap; no insurance promise. A refund through TalleFlow Pay is never more than what the hirer paid for that job. TalleFlow Pay is not insurance, bonding, or a promise to cover losses beyond refunding amounts paid under these Terms and the product rules.
Provider payout and recovery. Providers must complete payout setup (including Stripe Connect onboarding) before they can be awarded a TalleFlow Pay job. As part of that setup, the provider saves a payment card on TalleFlow’s Stripe account and agrees that TalleFlow may charge that card for refunds, chargebacks, or fees the provider causes, as described in the provider agreement and consent shown in the product. Charging that card is separate from debiting the provider’s Stripe payout balance.
Pay outside TalleFlow. Jobs marked to be paid outside TalleFlow (cash, check, the parties’ own invoice, and similar) are not processed through TalleFlow Pay. TalleFlow takes no fee and moves no money for those jobs.
Not live until enabled. TalleFlow Pay may be unavailable, limited by kill switches, or offered only in certain environments until TalleFlow enables it for your account or region. These Terms describe the feature when it is enabled; they do not by themselves mean every account can use it today.
5. AI-Powered Features
TalleFlow may offer AI-powered features designed to assist users with workflows, documents, recommendations, and insights.AI-generated content is provided for informational and assistive purposes only and may be inaccurate, incomplete, or outdated.
Users are solely responsible for reviewing, validating, and approving any AI-generated output before using it or sharing it with clients.TalleFlow does not provide legal, financial, tax, or professional advice and makes no guarantees regarding AI-generated content.
6. User Content & Intellectual Property
Users retain ownership of the content they create, upload, or submit through the Services.
By using the Services, you grant TalleFlow a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and process your content solely for the purpose of operating, maintaining, and improving the Services.
TalleFlow may use anonymized and aggregated data derived from use of the Services solely to operate, secure, maintain, and improve the Services internally. We do not use your content or business data to create public industry reports, benchmark publications, pricing guides, or other marketing content unless you explicitly opt in to a separate program.
7. Community Conduct
You agree to use the Services in a respectful and lawful manner. You may not:
Harass, threaten, or abuse others
Post spam, scams, or misleading content
Impersonate any person or entity
Violate applicable laws or regulations
TalleFlow reserves the right to moderate content, remove posts, restrict access, or suspend or terminate accounts at its sole discretion.
8. Suspension & Termination
TalleFlow may suspend or terminate your account at any time for violations of these Terms, abuse of the Services, fraudulent activity, or behavior that poses risk to other users or the platform.Upon termination, access to the Services and associated data may be limited or removed in accordance with applicable law.
9. Third-Party Services & Connected Accounts
The Services may integrate with or link to third-party services, including payment processors, authentication providers, email and analytics providers, advertising and chat tools on our marketing site, affiliate platforms, and optional connections you enable (such as Google, Meta/Facebook or Instagram, or AI assistants via MCP on eligible plans).
TalleFlow is not responsible for third-party content, availability, security, or practices. Your use of third-party services is governed by their respective terms and policies.
If you connect a third-party account (including Meta or Google) or an AI assistant via MCP, you represent that you have the right to grant that access, and you are responsible for the data you authorize that connection to use. You can disconnect integrations in the product where available. Disconnecting stops new access through that connection; deletion of stored integration data follows our Privacy Policy and Data Deletion page.
10. Disclaimers
The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
TalleFlow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.TalleFlow does not guarantee uninterrupted or error-free operation of the Services.
11. Limitation of Liability
To the maximum extent permitted by law, TalleFlow shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill.In no event shall TalleFlow’s total liability exceed the amount paid by you to TalleFlow in the twelve (12) months preceding the claim.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.Any dispute arising from these Terms or the Services shall be resolved through binding arbitration on an individual basis.
You waive the right to participate in class actions or representative proceedings, except where prohibited by law.
13. Changes to These Terms
We may update these Terms from time to time.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Affiliate & referral program
We may operate an affiliate or referral program. Participation is subject to the program terms shown on our referral pages and in the affiliate platform. Commission rates and customer discounts are as published on those pages and may change. Fraudulent referrals or self-dealing may result in forfeiture of commissions and account action under these Terms.
