These Terms of Service (“Terms”) govern your access to and use of the TalleFlow platform, website, and related services (collectively, the “Services”) operated by TalleFlow, Inc. (“TalleFlow,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility & Account Registration

You must be at least 18 years old and have the legal authority to enter into binding agreements to use the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep your account information up to date.

You may not create multiple accounts to bypass restrictions, abuse promotions, manipulate pricing, or engage in fraudulent or deceptive behavior.

2. Description of Services

TalleFlow provides a software-as-a-service platform that includes customer relationship management tools, workflow automation, document generation, communication tools, a professional community, and a marketplace that enables users to discover, offer, purchase, and collaborate on services and digital assets.

The Services may change over time as we improve functionality, add features, or remove features.

3. Marketplace & White-Label Services

TalleFlow provides a platform for users to connect and transact with one another. TalleFlow is not a party to any agreement, transaction, or interaction between users.

All services offered through the marketplace or white-label features are provided solely by users, not by TalleFlow. TalleFlow does not control, endorse, guarantee, or assume responsibility for the quality, legality, delivery, safety, or outcomes of any user-provided services or content.

Any disputes, claims, or issues arising from user-to-user transactions are the responsibility of the users involved, unless otherwise required by applicable law.

4. Payments, Subscriptions & Fees

Certain features of the Services require payment. By purchasing a paid subscription or plan, you authorize TalleFlow to charge applicable fees through our third-party payment processors, such as Stripe.

Subscriptions automatically renew unless canceled before the renewal date. Fees are non-refundable except where required by law. Partial billing periods are not refunded.

Lifetime subscriptions are final and non-refundable unless otherwise explicitly stated at the time of purchase.

TalleFlow does not store or process payment card information directly and is not responsible for errors or outages caused by third-party payment providers.

We reserve the right to modify pricing, subscription plans, fees, and promotional programs at any time.

5. AI-Powered Features

TalleFlow may offer AI-powered features designed to assist users with workflows, documents, recommendations, and insights.

AI-generated content is provided for informational and assistive purposes only and may be inaccurate, incomplete, or outdated. Users are solely responsible for reviewing, validating, and approving any AI-generated output before using it or sharing it with clients.

TalleFlow does not provide legal, financial, tax, or professional advice and makes no guarantees regarding AI-generated content.

6. User Content & Intellectual Property

Users retain ownership of the content they create, upload, or submit through the Services.

By using the Services, you grant TalleFlow a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and process your content solely for the purpose of operating, maintaining, and improving the Services.

TalleFlow may use anonymized and aggregated data derived from user activity to improve product functionality, analytics, and performance.

7. Community Conduct

You agree to use the Services in a respectful and lawful manner. You may not:

• Harass, threaten, or abuse others
• Post spam, scams, or misleading content
• Impersonate any person or entity
• Violate applicable laws or regulations

TalleFlow reserves the right to moderate content, remove posts, restrict access, or suspend or terminate accounts at its sole discretion.

8. Suspension & Termination

TalleFlow may suspend or terminate your account at any time for violations of these Terms, abuse of the Services, fraudulent activity, or behavior that poses risk to other users or the platform.

Upon termination, access to the Services and associated data may be limited or removed in accordance with applicable law.

9. Third-Party Services

The Services may integrate with or link to third-party services. TalleFlow is not responsible for third-party content, availability, security, or practices. Your use of third-party services is governed by their respective terms and policies.

10. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. TalleFlow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

TalleFlow does not guarantee uninterrupted or error-free operation of the Services.

11. Limitation of Liability

To the maximum extent permitted by law, TalleFlow shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill.

In no event shall TalleFlow’s total liability exceed the amount paid by you to TalleFlow in the twelve (12) months preceding the claim.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration on an individual basis. You waive the right to participate in class actions or representative proceedings, except where prohibited by law.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
